#### Total paid with vendor uplift

**Key:** total_list

**Expr:** if(gt(lr,0), fee * (pow(1 + lr, term) - 1) / lr, fee * term)

**Format:** currency

**Description:** Sum of a geometric series: fee x ((1+r)^n - 1) / r.

#### Total paid with negotiated cap

**Key:** total_capped

**Expr:** if(gt(cr,0), fee * (pow(1 + cr, term) - 1) / cr, fee * term)

**Format:** currency

#### Saving from the cap over the term

**Key:** saving

**Expr:** total_list - total_capped

#### Total term cost and saving as the cap changes

**Type:** line

**X:** cap_uplift

**From:** 0

**To:** 12

**Disclaimer:** Assumes the uplift applies at each anniversary starting in year 2 and the user count stays flat. Added users, new modules and renewal repricing are separate and not modelled.

## Content

**Intro:** Most ERP subscription order forms contain an annual uplift clause, and the number looks small on a single line. Over a five or seven year term it compounds, and it is one of the cheapest items to negotiate before signature. This calculator shows the total cost with the vendor's uplift against a negotiated cap.

**Sections:**

#### How to use the calculator

**Body:** Enter the net year 1 subscription fee, the uplift written in the vendor's order form, the cap you intend to ask for, and the term. The result shows total paid under each case, the saving, and the final year fee so you can see where the run rate lands at renewal. Use the chart to find the cap at which the saving stops being worth a fight, then bring that figure to the negotiation.

**Bullets:**

- Read the uplift from the order form, not the sales deck
- Check whether the clause says fixed percent or then current list price
- Run the model at the term you actually plan to sign

#### The formula behind it

**Body:** With a fee F, annual uplift rate r and term n years, year k costs F x (1+r)^(k-1). The total is the geometric series F x ((1+r)^n - 1) / r. When r is zero the total is simply F x n. The calculator applies the same series to both the vendor uplift and your cap and reports the difference. The final year fee is F x (1+r)^(n-1), which is the number that matters when you renew or leave.

#### Reading the result

**Body:** A 7 percent uplift on a 180,000 fee over five years costs about 1,035,000 in total, against about 955,000 with a 3 percent cap. The gap is roughly 80,000, and the year five fee differs by around 23,000. If the vendor will not move on the number, ask for alternatives: a longer price hold in the first term, a cap tied to a named index, or a right to terminate if uplift exceeds a threshold.

#### Common mistakes

**Body:** Teams often negotiate the discount and ignore the escalator, even though the escalator can erase the discount by year four. Another mistake is accepting a cap that applies only to renewal terms and not within the initial term. Also confirm whether the cap applies to the whole order or only to the base platform, and whether add-on modules sit outside it.

**Bullets:**

- Cap that excludes add-on modules
- Cap that applies only at renewal
- Index based cap with no ceiling
- Ignoring currency indexation in non-US contracts

**Cta:** If you would like help reviewing an order form against a typical negotiation position, our team can walk through the clauses with you. The calculator above works fully without us.

**Faq:**

#### What is a normal annual uplift in an ERP subscription?

**Answer:** It varies by vendor and contract. Fixed percentage clauses in the low to mid single digits are common, and some contracts say the then current list price instead. Treat any figure in the paper as negotiable, especially for a multi-year commitment.

#### Is a cap or a price freeze better?

**Answer:** A freeze for the first term is simplest and gives certainty, but vendors often trade it against a lower discount. A cap gives them some inflation relief. Run both cases here and compare the total over the term.

#### Does the uplift apply to added users?

**Answer:** Usually new users are priced at the then current rate or the contracted rate, depending on the paper. Ask that additional users be priced at your discounted unit rate and also be covered by the cap.

#### Why does the saving grow faster than the term?

**Answer:** Because the uplift compounds. Each year's increase is applied to a base that already includes earlier increases, so the gap between a high and a low rate widens every year of the term.
