## Content

**Intro:** A take-or-pay or minimum commitment clause turns a forecast into a liability. This calculator shows how much you pay if volumes fall short and what that does to the price per unit you actually receive.

**Sections:**

#### How to use it

**Body:** Enter the annual minimum, your expected actual volume, the contract price, any tolerance band, carry forward credit and the percentage of price charged on each unit short. The result shows the shortfall payment and the effective price. Run it at your most likely volume and at a downside volume, then drag the slider to see how quickly the effective price rises as demand falls.

**Bullets:**

- Use your own downside forecast, not the supplier's volume assumption.
- Confirm whether the charge applies per contract year or per quarter.
- Enter carry forward only if the contract grants it in writing.

#### The formula

**Body:** Effective minimum equals the commitment times one minus the tolerance. Chargeable shortfall equals the effective minimum minus actual units minus carry forward credit, floored at zero. The shortfall payment equals that quantity times the unit price times the shortfall charge percentage. The effective unit price equals purchase spend plus the shortfall payment, divided by units received. At zero actual units the price is undefined, so the calculator returns zero.

#### Reading the result

**Body:** The effective price curve is flat above the effective minimum and rises below it. If the shortfall charge is 100 percent, you simply pay for the minimum regardless. A lower percentage usually reflects supplier margin plus stranded costs. Compare the rise against the discount you earned for committing: if the price break is small and your forecast risk is high, a shorter commitment or a tolerance band may be worth more than a lower base price.

#### Practical notes for ERP teams

**Body:** Track cumulative received quantity against the commitment in your ERP using blanket or scheduling agreements, for example contract releases in SAP, blanket purchase agreements in Oracle, or contract lines in SyteLine. A monthly report of year to date receipts versus pro rata minimum gives you early warning to redirect volume, negotiate a rollover or use substitution rights before the period closes.

**Cta:** If commitment tracking lives in spreadsheets, we can help build a read-only view of year to date receipts against contract minimums in your ERP.

**Faq:**

#### What is the difference between take-or-pay and a minimum order quantity?

**Answer:** A minimum order quantity applies per order. Take-or-pay applies to cumulative volume over a period, usually a year, and charges you for the shortfall even if you never place the orders.

#### Can I negotiate a tolerance band?

**Answer:** Yes, tolerance bands of a few percent are common, and so are rolling commitments measured over two years. The supplier's willingness depends on capacity commitment, tooling investment and material lead times.

#### Is the shortfall charge always the full price?

**Answer:** No. Many contracts charge a share of price or a defined cost, and some convert the shortfall into credit against future purchases. The wording matters, so model the contract as written.

#### Does force majeure suspend the minimum?

**Answer:** It often does, but only if the clause names events that cover your situation. Demand loss from a weak market is usually not force majeure. Confirm with counsel before relying on it.
