Mutual NDA Template for Manufacturers
Before you send drawings to a new supplier or accept a customer's RFQ package, most sides want a signed NDA. This tool fills a mutual (two-way) NDA from a few fields and exports it as a clean document you can send for review.

Mutual NDA Template for Manufacturers
Mutual Non-Disclosure Agreement
This Agreement is made on 2026-11-01 between Acme Precision Ltd of 100 Industrial Way, Austin, Texas, USA ("Party A") and Northfield Components Inc of 42 Foundry Road, Pune, India ("Party B"). Each may disclose and receive Confidential Information, and each is a "Discloser" when it discloses and a "Recipient" when it receives.
1. Purpose
The parties will share Confidential Information solely for the following purpose (the "Purpose"): Evaluating and quoting the manufacture of machined housings, including review of drawings, specifications, volumes and pricing.
2. Confidential Information
Confidential Information means non-public technical or business information disclosed in any form, including drawings, CAD models, specifications, bills of materials, routings, process parameters, tooling designs, test data, quality records, pricing, volumes, customer identities and supplier lists, that is marked confidential or that a reasonable person would understand to be confidential from its nature and the circumstances of disclosure. Oral disclosures are covered without a later written summary.
3. Obligations of the Recipient
The Recipient will (a) use Confidential Information only for the Purpose; (b) protect it with at least the care it uses for its own similar information and no less than reasonable care; (c) limit access to employees, contractors and advisers who need it for the Purpose and who are bound by confidentiality duties at least as protective as this Agreement; (d) not copy it except as needed for the Purpose; and (e) not reverse engineer, disassemble or analyse samples, tooling or software received from the Discloser except as expressly agreed in writing.
4. Exclusions
These obligations do not apply to information that (a) is or becomes public without breach by the Recipient; (b) was lawfully known to the Recipient before disclosure; (c) is lawfully received from a third party without a duty of confidence; or (d) is independently developed without use of the Discloser's information. The Recipient may disclose Confidential Information to the extent required by law or court order, after giving the Discloser prompt notice where lawful so it can seek protection.
5. Return or Destruction
On written request or when the Purpose ends, the Recipient will return or destroy Confidential Information, including copies held in systems and e-mail, and confirm this in writing on request. Copies held in routine backups or retained as required by law may remain, subject to continuing confidentiality.
6. No Licence, No Commitment
All Confidential Information remains the property of the Discloser. No licence to patents, copyrights, designs or know-how is granted. Nothing in this Agreement obliges either party to disclose information, to buy or sell anything, or to enter any further agreement. Information is provided as is unless a later written agreement says otherwise.
7. Export Controls
Export controlled data: Not expected. Each party is responsible for complying with export control and sanctions laws that apply to it. A Discloser will tell the Recipient before sending any technical data it knows to be export controlled so that appropriate handling can be agreed first.
8. Term and Survival
This Agreement covers disclosures made during 2 year(s) from the effective date. The obligations in sections 3 to 5 continue for 5 years after the end of that period. Trade secrets stay protected for as long as they remain trade secrets under applicable law.
9. General
This Agreement is governed by the laws of the State of Texas, USA. It is the entire agreement on its subject, may be changed only in writing signed by both parties, and may be signed in counterparts including electronic signatures. Either party may seek injunctive relief in addition to other remedies for actual or threatened breach. Neither party may assign this Agreement without the other's written consent, except to a successor of its whole business.
Execution
This is a generic, balanced starting point, not legal advice. Have a qualified lawyer review it for your jurisdiction, especially around governing law, enforceability of survival periods, export control handling and any government customer flow-down requirements.
Want contract status tracked in your ERP?
Optional: we can look at how NDA, supplier and contract records could be surfaced from your ERP data.
Optional. The tool and every export work without this. No spam.
How to use the template
Enter both legal entity names exactly as they appear on registration documents, then describe the Purpose narrowly. A tight purpose such as quoting a specific part family is stronger than a vague phrase like exploring business opportunities, because the Recipient may only use information for that purpose. Choose a term that matches the likely sales cycle, then a survival period that reflects how long your data stays sensitive. Export to Word so your counsel can mark it up, or to PDF for signature.
- Use legal names, not trade names
- Keep the Purpose specific to the project
- Send the NDA before the RFQ package, not after
- Store signed copies where purchasing can find them
What a manufacturing NDA should cover
General office NDAs often miss manufacturing realities. Drawings and models should be named explicitly, along with BOMs, routings, tooling designs and process parameters, because these are what a competitor or a supplier's other customers would value. The reverse engineering clause matters when you ship samples or fixtures. The return and destruction clause should reach ERP and e-mail copies, not only paper. A residuals clause, which lets a recipient freely use whatever its staff remember, is a common request from suppliers; this template leaves it out, and you should think hard before adding it.
Mutual versus one-way
Use a mutual NDA when both sides will share sensitive information, which is typical when a supplier shares process capability, pricing and capacity while the buyer shares part designs. Use a one-way NDA when only one party discloses, such as a customer sharing a confidential specification for a bid. Mutual forms are often faster to agree because neither side feels singled out. If one party is far larger, expect it to propose its own form, and compare its terms against the sections above rather than starting from zero.
Common mistakes
The most frequent problems are an unsigned NDA while files are already flowing, mismatched entity names, an unlimited term that no one tracks, and no one owning the return or destruction step. Another is assuming an NDA protects a design that was never marked or clearly described. An NDA is also not a substitute for access control: restrict who in your own team can pull the files. If government or defense data may be involved, regulations may add handling duties beyond any NDA, so involve your compliance lead early.
Frequently Asked Questions
Is a mutual NDA enforceable without a lawyer drafting it?
Enforceability depends on your jurisdiction, clear identification of the parties, a defined purpose and reasonable duration. A template is a sound starting point, but for important relationships have counsel review the final text, particularly governing law and survival terms.
How long should confidentiality last?
Many commercial NDAs run two to five years after disclosure ends. Technical data that stays valuable for decades, such as proprietary process know-how, is often protected as a trade secret for as long as it stays secret. Choose the period to match how long the information keeps its value.
Do I need an NDA before sending an RFQ?
If the package includes drawings, volumes or other non-public details, yes. Many buyers sign first and send technical data second. For basic catalogue parts the risk is low, but for custom parts, tooling or customer-specific designs an NDA is normal practice.
Can I sign an NDA electronically?
In most countries electronic signatures are valid for commercial contracts, and the template includes a counterparts clause. Check any local formalities, such as stamp duty rules in some Indian states, with a local adviser before relying on e-signing.
If you want NDA status, drawing release and supplier access tracked inside your ERP rather than a shared drive, we can talk through what is practical.
