Consulting Non-Disclosure Agreement

This agreement is made on 2026-11-01 between Acme Precision Ltd of 100 Industrial Way, Wichita, KS ("Client") and Northwind ERP Advisors LLC of 22 Market Street, Austin, TX ("Consultant").

1. Purpose

Client will disclose confidential information to Consultant solely for the following purpose: Evaluation and configuration of the client's ERP system, including review of bills of material, routings, costing and quality data.

2. Confidential Information

Confidential Information means non-public information disclosed by Client in any form, including production data, part numbers, drawings, bills of material, routings, costs, prices, customer and supplier lists, quality records, ERP configuration, source code, credentials, and any information marked or reasonably understood to be confidential. It does not include information that is public without breach, already known to Consultant without restriction, independently developed, or lawfully received from a third party without duty of confidence.

3. Obligations of Consultant

Consultant will use Confidential Information only for the Purpose, protect it with at least reasonable care, limit access to personnel with a need to know who are bound by equivalent duties, and not copy it except as needed for the Purpose. Consultant will notify Client without undue delay of any unauthorized access or disclosure.

4. Client data, systems and AI tools

Consultant will access Client systems only through accounts and methods approved by Client, and will not extract production data to personal devices or third-party services. Use of artificial intelligence or machine learning tools with Client Confidential Information: No, not without written consent. Confidential Information will not be used to train or improve any model.

5. Compelled disclosure

If required by law to disclose Confidential Information, Consultant will give Client prompt notice where permitted and disclose only what is legally required.

6. Return and destruction

On request or when the Purpose ends, Consultant will return or securely destroy all Confidential Information, including copies in notes and backups where practicable, and confirm in writing within 30 days.

7. Term

This agreement lasts 2 years from the effective date. Obligations for Confidential Information survive for 3 years after termination, and for trade secrets as long as they remain trade secrets.

8. General

No license or ownership is granted. Information is provided as is. Consultant's work product is governed by a separate services agreement. Equitable relief is available for breach. This agreement is governed by the laws of State of Kansas and is the entire agreement on this subject, amendable only in writing.

This template is a starting point and not legal advice. Have a lawyer review it, especially if the data includes export-controlled technical data (ITAR or EAR), personal data, or if you operate outside the United States. Make it mutual if both sides share confidential information.

Run AI on your data without sharing it

Optional: see how a private on-prem AI layer lets consultants work without copying production data out.

Optional. The tool and every export work without this. No spam.

What a consulting NDA is and why it matters

A consulting NDA is a contract in which the consultant agrees to keep a client's non-public information confidential and to use it only for the engagement. Consultants working on ERP, quality or costing projects see bills of material, routings, margins and customer lists. The agreement gives you a legal remedy if that information leaks and sets expectations on how data is stored and returned.

  • Benefits: legal protection, clear data handling rules, protection of trade secrets
  • It does not replace security controls or access management
  • It usually sits beside a master services agreement or statement of work

Tips for a good consulting NDA

Define the purpose narrowly. List the kinds of data that count as confidential, because manufacturing data does not look like typical business documents. Set a fixed term and a survival period rather than leaving it open ended, and keep trade secrets protected as long as they qualify. Say how and where data may be accessed, and require return or destruction at the end.

  • Name the systems and data classes covered
  • Require notice of breaches
  • Specify return and destruction with written confirmation
  • Decide who owns work product in the services agreement, not the NDA

AI tools and production data

Consultants increasingly paste data into public AI assistants. Clause 4 handles this by default prohibition, or by allowing only tools running inside your environment. Without it, bills of material and customer names could be sent to a third-party service. If you do allow AI, require that the tool is run on your infrastructure and that your data is not used for model training.

Common mistakes

Using an NDA that is too broad to enforce, forgetting that export-controlled technical data needs more than a confidentiality agreement, not covering subcontractors the consultant brings in, and failing to collect the destruction certificate. Also, an NDA signed after the first meeting does not protect what was already shared.

Frequently Asked Questions

What is a consulting NDA agreement?

It is a contract where a consultant promises to keep the client's confidential information secret and use it only for the agreed engagement. It lists what is covered, the duration, and what happens to the data afterward.

Should a consulting NDA be one-way or mutual?

Use one-way when only the client shares sensitive information. Use mutual when the consultant also shares proprietary methods or tools. This template is one-way, and you can add reciprocal wording if needed.

How long should confidentiality last?

Commonly two to five years after the agreement ends, with trade secrets protected for as long as they qualify. Longer periods can be harder to enforce for ordinary business data, so match the term to how long the information stays sensitive.

Does an NDA cover export-controlled data?

No. An NDA does not authorize anyone to receive ITAR or EAR controlled technical data. You must also confirm the consultant's eligibility and follow the applicable export rules before sharing it.

If you would rather keep consultants and AI tools inside your own network, Netray can set up a private on-prem AI layer over your ERP data.
