Sales Tax Exemption Certificate Request Letter Template

Sellers are generally responsible for collecting a valid exemption or resale certificate when they do not charge sales tax. This letter template makes that request clear, dated and easy to file, and can be reversed to notify a vendor that your plant is claiming an exemption.

Request for exemption documentation

Our records show that we have not received a valid exemption documentation for your account for shipments to Texas, Louisiana. If your purchases from us are exempt from sales tax under the basis of Manufacturing exemption, please send a completed and signed certificate for each state to which we ship.

A usable certificate normally shows the purchaser name and address, the seller name, the state, the reason for exemption, a description of the goods, any registration or permit number the state requires, a signature and a date. Please use the form the state accepts, or a multistate form where the state allows it.

Deadline

Please return the certificate by 2026-11-10. Sales tax will be added to open and future invoices to this account until a valid certificate is on file.

This is a starting point, not legal or tax advice. Each state sets its own certificate rules, validity period and acceptable forms. Keep received certificates in your ERP customer record or document archive and review them on a schedule.

Block invoices without a valid certificate

Optional: talk through exemption flags and expiry checks inside your ERP billing flow.

Optional. The tool and every export work without this. No spam.

How to use the template

Fill in your company details, the customer account and the states you ship to. Choose the exemption basis you believe applies, set a response date and edit the consequence wording to match your credit policy. The document exports to PDF or Word so you can send it with a statement or an open invoice list. For vendor use, swap the roles: your company becomes the purchaser and the recipient becomes the supplier.

  • One letter per customer, listing every ship-to state
  • Attach a blank form for each state where possible
  • Log the request date on the customer record
  • Follow up before the response date, not after

What makes a certificate valid

Validity rules differ by state, but auditors usually look for complete fields, a correct exemption reason, a signature and a date, and whether the certificate was accepted in good faith at the time of sale. Missing or stale certificates are among the most common audit findings. A multistate or uniform certificate is accepted by many states but not all, so confirm the receiving state allows it.

Manufacturing and resale examples

A fabricator buying steel plate to make parts it resells can use a resale certificate. A plant buying equipment used directly in production may claim a manufacturing exemption in states that offer one, such as Texas for qualifying machinery and equipment used directly in manufacturing. The scope of what qualifies is narrow and differs by state, so a customer should confirm eligibility themselves. Your letter asks for documentation, it does not decide eligibility.

Common mistakes

Teams often accept blank or partly filled certificates, let certificates expire silently, or file them outside the ERP where billing cannot see them. Others charge tax inconsistently across orders. Store a certificate flag and expiry date on the customer ship-to record, and block tax-exempt invoicing when it is missing.

Frequently Asked Questions

Is a resale certificate the same as an exemption certificate?

Not exactly. A resale certificate supports buying goods you will resell. An exemption certificate covers other reasons such as manufacturing use or government status. Some states use one form with different check boxes.

How long should I keep certificates?

Keep them at least through the statute of limitations for the state, and many advisers recommend longer. Retention rules vary, so confirm with your tax adviser.

Can I accept a certificate by email?

Many states accept electronic copies, but acceptance rules vary. Save the original file and the date received in your system.

Does this letter replace a state form?

No. It requests the state form or acceptable multistate form. The letter is a cover request and not itself an exemption certificate.

If your ERP can hold exemption flags and expiry dates, an agent can warn billing before an invoice goes out without a valid certificate. We can scope that with you.
