Contract Termination for Convenience Notice Template

Ending a supply or service relationship without a breach needs a clean notice that follows the contract. A termination for convenience clause lets either side leave, usually with a notice period and some wind-down duties. This template keeps the letter factual and complete.

This template is a starting point, not legal advice. Termination rights, notice periods, delivery of notice, and settlement duties are set by your contract and local law. Follow the exact notice clause, and ask counsel to check high value or long term agreements.

List open supplier commitments

Optional: ask how open orders, schedules and consigned stock per supplier can be reported from your ERP.

Optional. The tool and every export work without this. No spam.

How to use it

Find the termination clause and copy the clause number, notice period and delivery method. Set the effective date by counting from the date you will actually deliver the notice, not from today's date if it will be sent later. Decide what happens to open purchase orders, WIP, customer tooling and transition support before you send, because these are the points that lead to disputes. Export, sign, and deliver as the agreement requires.

  • Count the notice period from the delivery date
  • Say clearly what happens to open orders
  • Return of tooling and drawings needs a joint inventory
  • Keep the letter free of allegations of breach

What a clean wind-down covers

A termination for convenience is not a breach claim, so avoid blame. The notice should settle five things: the legal basis, the effective date, the fate of open orders, the fate of WIP and materials with a cost process, and return of property and data. Survival clauses keep confidentiality and warranty alive. A transition period of cooperation, covering first article data and process documents, protects supply continuity while a second source is qualified.

Worked example

A drive maker has a three year machining agreement with a 90 day convenience clause. It qualifies a second source and gives notice on 20 October, effective 18 January. Open orders issued before the notice are completed, WIP is listed within 14 days, and fixtures owned by the buyer are returned with a joint count. The supplier sends a final invoice within 30 days of the effective date.

Common mistakes

Mistakes include sending notice to the wrong address, shortening the notice period, forgetting minimum purchase commitments or termination fees in the agreement, and neglecting live service level or supply continuity obligations. Also check ERP: supplier records, approved source lists, blanket orders and schedule agreements all need updating on the effective date.

Frequently Asked Questions

Can I terminate for convenience if the contract has no such clause?

Not usually. Without a clause you may need to wait for expiry or rely on breach or other rights. Some contracts allow termination on reasonable notice. Get legal advice before ending a contract without a clear right.

Do I still pay for work in progress?

Often yes, to the extent the agreement says so, usually at cost plus a defined margin for authorized work. Define a list and valuation method in the notice to avoid disputes.

How should the notice be delivered?

Follow the notices clause exactly: address, method such as courier or registered post, and whether email counts. Keep proof of delivery. A correct notice with a wrong delivery method may be invalid.

Does termination end confidentiality duties?

Normally no. Confidentiality, intellectual property and warranty terms usually survive for a stated period. Check the survival clause and remind the other party in the notice.
