Contract Redline Issue Log Worksheet

Most contract negotiations are run from an email thread and a marked-up Word file. That works until you have forty open points and cannot see which ones matter. This worksheet keeps every issue in one table, scores the risk and lets you export to Excel.

A negotiation tracking tool, not legal advice. Rate impact and likelihood from 1 (low) to 5 (high). Scores of 15 or more are usually worth escalation. Exposure is your own estimate of money at risk if the clause goes against you.

Contract terms inside your ERP

Optional: ask how key contract terms can be surfaced on supplier and customer records.

Optional. The tool and every export work without this. No spam.

How to use the worksheet

Add one row per clause issue after your first read of the other side's draft. Write their position, your ask and a fallback you would accept. Score impact and likelihood from 1 to 5; the risk score is computed. Estimate the money at risk. Update the status after every call. Sort by risk score when preparing for a meeting so you spend time on the points that matter, and concede low scoring items first.

  • One row per issue, not per paragraph
  • Always write a fallback before the call
  • Estimate exposure in money, even roughly
  • Review the log with legal before signature

The scoring method

Risk score is impact multiplied by likelihood, the same logic as a simple risk matrix. Impact reflects how bad the clause is if it bites: lost production, uncapped liability, lost IP. Likelihood reflects how probable that is in this relationship. A high impact, low likelihood clause such as a liability cap can still deserve attention. Consistent scoring across contracts helps you compare suppliers and customers.

Worked example

In the sample, the warranty clause scores 15 (impact 5, likelihood 3) with USD 40,000 exposure, while payment terms score 10 and are already agreed. The liability cap scores 10 but is escalated because the exposure is USD 120,000. The total exposure line shows how much is still in play, which helps decide where to spend negotiation capital.

Common mistakes

Teams log everything with the same weight, forget to record concessions, and lose the history of what was agreed on which call. Keep a dated note when status changes. After signature, move key obligations such as notice dates and audit rights into the contract renewal tracker so they are not forgotten.

Frequently Asked Questions

How many issues should be on the log?

Log every point where you want a change or where the draft departs from your standard terms. For a typical supply agreement that is often 15 to 40 items. Long lists are fine if you sort by risk.

What is a good fallback position?

A fallback is the least favorable outcome you would still accept for that clause. Decide it before the call, ideally with legal or finance, so you do not concede under pressure.

Can I export it to Excel?

Yes. Every worksheet exports to Excel, CSV, PDF or Word. The risk score is exported as a value, so you can sort and filter in a spreadsheet.

Does this replace a lawyer?

No. It organizes your negotiation. Legal review of liability, indemnity, IP and governing law is advisable for any contract of significant value.

Netray can help connect contract terms to ERP supplier and customer records so key terms are visible at the point of use. This is optional.
